  • Provide accurate information concerning roles and hiring requirements
  • Inform Talent Flow of material changes to an assignment
  • Communicate interview and hiring decisions within a reasonable period
  • Treat candidates fairly and lawfully
  • Protect confidential candidate information
  • Honour agreed commercial and payment terms
  • Inform Talent Flow promptly where an introduced candidate receives or accepts an offer or engagement

B5. Fees

B5.1 Contingency Talent Acquisition

For contingency-based permanent talent acquisition, Talent Flow's fee will ordinarily be:

18% to 25% of the successful candidate's first-year gross starting base salary.

The applicable percentage will be agreed before commencement and may reflect:

  • Seniority
  • Skills scarcity
  • Complexity of the assignment
  • Recruitment volume
  • Market conditions
  • Exclusivity
  • Specialist sourcing requirements

Alternative rates may be agreed for volume assignments, repeat clients or other strategic arrangements.

B5.2 Retained & Executive Search

For retained, exclusive and executive-search assignments, Talent Flow's fee will ordinarily be:

30% to 40% of the successful candidate's first-year gross starting base salary.

The applicable fee will reflect the seniority, complexity and scope of the assignment. Fees towards the upper end of the range may be applied to:

  • C-suite appointments
  • Board and senior leadership appointments
  • Highly confidential assignments
  • Specialist or scarce-skill searches
  • International or multi-market searches
  • Extensive market mapping
  • Direct executive headhunting
  • Particularly complex or time-sensitive mandates

The applicable fee, scope, exclusivity arrangements and payment stages will be agreed with the client in writing before commencement.

B5.3 Fee Calculation

Unless agreed otherwise in writing, permanent placement and search fees are calculated using the successful candidate's first-year gross starting base salary.

Where remuneration includes substantial guaranteed commission, guaranteed bonus, allowances or other contractual remuneration, the basis for calculating the fee will be agreed before the assignment begins.

Applicable taxes will be added where required.

All fees and charging arrangements remain subject to applicable law, regulatory requirements and the terms agreed with the client.

B5.4 Payment

Payment terms and the event triggering payment will be confirmed in Talent Flow's proposal, assignment confirmation or individual client agreement.

Retained and executive-search fees may be divided into agreed payment stages.

B5.5 Bespoke Commercial Arrangements

Alternative commercial terms may be agreed for:

  • Multiple vacancies
  • Volume talent acquisition
  • Repeat clients
  • Exclusive assignments
  • Retained search
  • Executive search
  • Specialist assignments

Any variation must be agreed in writing.

B6. Candidate Introductions

Where Talent Flow introduces a candidate and that introduction subsequently results in an employment or other engagement covered by the agreed client terms, the applicable fee remains payable.

Clients must not deliberately attempt to avoid an agreed fee by:

  • Engaging an introduced candidate outside the agreed arrangement for the purpose of avoiding the fee
  • Using another entity or intermediary to engage the individual for the purpose of avoiding the fee
  • Referring the candidate to an associated business where this is covered by the agreed client terms
  • Deliberately withholding information regarding an appointment in order to avoid an agreed fee

The applicable introduction period and circumstances giving rise to a fee may be specified in the relevant client agreement.

Talent Flow may work with consultants, representatives, contractors and other authorised professionals to deliver business development, talent sourcing, market research and search services.

Unless expressly agreed otherwise in writing, client agreements are entered into with The Career Genies Ireland Ltd.

  • Salary information
  • Commercial information

Nothing in these Terms excludes or restricts liability where doing so would be prohibited by applicable law.

Subject to applicable law and the relevant client agreement, Talent Flow is not responsible for hiring decisions independently made by clients or for acts or omissions of candidates outside Talent Flow's reasonable control.
